Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and QuoteKit ("QuoteKit", "we", "us") governing your access to and use of our website and proposal generation services (the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract to use QuoteKit. You are responsible for the activity on your account and for keeping your credentials secure. Notify us immediately at support@quotekit.app if you suspect unauthorized access.

2. The Service

QuoteKit helps home service contractors generate proposals using artificial intelligence. You provide job details and we generate proposal text, formatted documents, PDFs, and shareable links. Available features depend on your subscription tier.

3. AI-generated content disclaimer

Proposals produced by QuoteKit are generated by large language models from the inputs you provide. AI output can contain errors, omissions, or content that is inaccurate, outdated, or inappropriate for a specific job. You are solely responsible for reviewing, editing, and approving every proposal before you send it to a client. QuoteKit is a drafting tool, not a substitute for professional judgment, code compliance review, legal review, or a licensed estimator. Pricing, scope, materials, warranties, and timelines you publish are your representations to your client, not ours.

4. No guarantee of winning jobs

QuoteKit does not guarantee that using the Service will result in any specific business outcome, including but not limited to winning bids, closing jobs, revenue, conversion rates, response times, or client satisfaction. Testimonials and example metrics on our website reflect individual experiences and are not a promise of results.

5. Your content and license

You retain ownership of the inputs you submit and the proposals you generate ("Your Content"). You grant QuoteKit a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Your Content solely to provide and improve the Service. We do not use Your Content to train AI models.

You represent that you have all rights necessary to submit Your Content, including any client information, logos, license numbers, and job details you upload, and that doing so does not violate any third-party right or applicable law.

6. Acceptable use

You agree not to, and not to allow anyone else to:

  • Use the Service for any illegal, fraudulent, deceptive, or harmful purpose.
  • Generate proposals containing false licensing, insurance, certification, or warranty claims.
  • Misrepresent yourself as another contractor, business, or individual.
  • Upload malware, attempt to breach our security, probe, scan, or test the vulnerability of the Service.
  • Reverse engineer, decompile, scrape, or attempt to extract the source code or underlying models of the Service.
  • Resell, sublicense, or white-label the Service without our written permission.
  • Use the Service to generate content that is defamatory, harassing, discriminatory, or that infringes intellectual property rights.
  • Use automated means to create accounts or generate proposals at volumes inconsistent with normal contractor use.

We may suspend or terminate accounts that violate these rules, with or without notice.

7. Subscriptions, billing, and refunds

Paid plans are billed in advance on a monthly or annual basis via Stripe and automatically renew until cancelled. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period. Refunds are governed by our Refund Policy.

We may change prices on prospective renewals; we will give you at least 30 days' notice before any price increase takes effect.

8. Intellectual property

The Service, including the QuoteKit name, logo, templates, and underlying software, is owned by QuoteKit and protected by intellectual property laws. We grant you a limited, non-transferable, revocable license to use the Service for your internal business purposes, subject to these Terms.

9. Third-party services

The Service relies on third-party providers including our cloud platform, Stripe for payments, and AI model providers. Your use of those services through QuoteKit is also subject to their respective terms.

10. Termination

You can stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that exposes us or other users to risk. After termination we will delete your data as described in our Privacy Policy.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF AI OUTPUT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTEKIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.

13. Indemnification

You agree to indemnify and hold QuoteKit harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Service, your proposals, your Content, your violation of these Terms, or your violation of any law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, unless a binding arbitration clause separately agreed to between us applies.

15. Changes

We may update these Terms from time to time. Material changes will be announced by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
